IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

1. ACCEPTANCE OF TERMS AGREEMENT

1.1. Binding Agreement. By creating a StayDuo account, downloading the StayDuo mobile application, or accessing or using the StayDuo website (www.stayduo.gr) or any related services (collectively, the "Service"), you agree to be bound by (i) this Terms of Use Agreement, (ii) our Privacy Policy, (iii) our Cookie Policy, (iv) our Community Guidelines/Safety Tips, and (v) any terms disclosed to you if you purchase or have purchased additional features, products, or services we offer on the Service (collectively, this "Agreement").

1.2. Eligibility. If you do not accept and agree to be bound by all of the terms of this Agreement, you are not authorized to access or use the Service. The Service is owned and operated by StayDuo Global I.K.E. ("StayDuo," "we," "us," or "our"), a Private Capital Company organized under the laws of Greece, with General Commercial Registry (G.E.MH.) number 185396603000, having its registered office in Syngrou Avenue 106, Athens 11741, Greece.

2. ELIGIBILITY AND REPRESENTATIONS

You are not authorized to create an account or access or use the Service or systems it resides on unless all of the following are true:

2.1. Age Requirement. You are at least 18 years of age.

2.2. Authority. You have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

2.3. Legal Compliance. You are not a person who is barred from using the Service under the laws of the United States, the European Union (EU), or any other applicable jurisdiction.

2.4. Criminal History Warranty. You represent and warrant that you have never been convicted of a felony or any indictable offense (or crime of similar severity), a sex crime, or any crime involving violence, and that you are not required to register as a sex offender with any state, federal, or local sex offender registry. StayDuo reserves the right to conduct criminal background checks on you at any time and implies no warranty that it will do so for all users.

3. ACCOUNT SECURITY AND ACCESS

3.1. Account Creation. You may sign in using your Facebook login, Google login, or Apple ID. If you use a third-party account, you authorize us to access and use certain account information as permitted by that third-party platform.

3.2. Confidentiality. You are responsible for maintaining the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account.

3.3. Termination. StayDuo reserves the right to suspend or terminate your account immediately, without prior notice or liability, and without a refund of any purchases, if you have violated this Agreement, misused the Service, or behaved in a way that StayDuo regards as inappropriate or unlawful, including actions or communications that occur on or off the Service.

4. COMMUNITY RULES (ZERO TOLERANCE POLICY)

StayDuo maintains a Zero Tolerance Policy strictly enforced to comply with Apple App Store Guidelines and ensure user safety. You agree that you will NOT:

• Impersonation: Impersonate any person or entity or post any images of another person without his or her explicit permission.

• Harmful Conduct: Bully, "stalk," intimidate, assault, harass, mistreat, or defame any person.

• Hate Speech & Offensive Content: Post any content that is hate speech, threatening, sexually explicit, pornographic, incites violence, contains nudity, or graphic or gratuitous violence.

• Solicitation & Fraud: Use the Service for any purpose of prostitution, solicitation, human trafficking, or to solicit passwords or personal identifying information for commercial or unlawful purposes from other users.

• Spam: Spam, solicit money from, or defraud any members.

• Technical Attacks: Use any robot, bot, spider, crawler, scraper, site search/retrieval application, proxy or other manual or automatic device, method or process to access, retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents.

  
  

5. PROPRIETARY RIGHTS AND CONTENT

5.1. Your Content. You are solely responsible for the content and information that you post, upload, publish, link to, transmit, record, display or otherwise make available on the Service ("Content").

5.2. License to StayDuo. By posting Content as part of the Service, you automatically grant to StayDuo, its affiliates, licensees, and successors, an irrevocable, perpetual, non-exclusive, transferable, sub-licensable, fully paid-up, worldwide right and license to (i) use, copy, store, perform, display, reproduce, record, play, adapt, modify, and distribute the Content, (ii) prepare derivative works of the Content or incorporate the Content into other works, and (iii) grant and authorize sublicenses of the foregoing in any media now known or hereafter created.

5.3. StayDuo Content. Any text, graphics, user interfaces, trademarks, logos, sounds, and artwork on the Service owned, controlled, or licensed by StayDuo are protected by copyright, trademark, and other intellectual property rights laws.

5.4. Prohibited Content Removal. We reserve the right to remove any Content regarding the roommate search or housing offer that we determine violates this Agreement or determines is offensive or irrelevant to the purpose of the Service.

6. SAFETY; INTERACTIONS WITH OTHER MEMBERS

6.1. No Background Checks. YOU UNDERSTAND THAT STAYDUO DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS OR INQUIRE INTO THE BACKGROUND OF ITS MEMBERS. STAYDUO MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF MEMBERS OR THEIR SUITABILITY AS ROOMMATES.

6.2. User Responsibility. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. You agree to take reasonable precautions in all interactions with other members, particularly if you decide to meet offline or sign a housing contract.

6.3. Release of Liability. You hereby release StayDuo and its successors from all claims, demands, losses, damages, rights, and actions of any kind, including personal injuries, death, and property damage, that are either directly or indirectly related to or arise from your interactions with or conduct of other members of the Service.

7. PURCHASES AND AUTOMATIC RENEWAL

7.1. In-App Purchases. StayDuo may offer products and services for purchase ("in-app purchases") through iTunes, Google Play, or other application platforms authorized by StayDuo (each, a "Software Store"). If you choose to make an in-app purchase, you will be prompted to enter details for your account with your Software Store ("your IAP Account"), and your IAP Account will be charged for the in-app purchase in accordance with the terms disclosed to you at the time of purchase.

7.2. Auto-Renewal. If you purchase an auto-recurring periodic subscription, your IAP Account will continue to be billed for the subscription until you cancel. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to when subscribing.

7.3. Cancellation. If you do not wish your subscription to renew automatically, or if you want to change or terminate your subscription, you must log in to your IAP Account and follow instructions to cancel your subscription, even if you have otherwise deleted your account with us or if you have deleted the StayDuo application from your device.

7.4. No Refunds. All purchases are final. There are no refunds or credits for partially used periods, except as required by applicable law (e.g., EU Right of Withdrawal regarding digital content).

8. PUSH NOTIFICATIONS AND LOCATION-BASED SERVICES

8.1. Push Notifications. We may provide you with emails, text messages, push notifications, alerts, and other messages related to the App and/or the StayDuo services, such as enhancements, offers, products, events, and other promotions. After downloading the App, you will be asked to accept or deny push notifications/alerts. If you deny, you will not receive certain notifications.

8.2. Location Services. The App may allow access to or make available opportunities for you to view certain content and receive other products, services, and/or other materials based on your location. To make these opportunities available to you, the App will determine your location using one or more reference points, such as GPS, Bluetooth, and/or software within your mobile device. If you disable location services, you may not be able to use certain features of the Service.

9. REPORTING VIOLATIONS AND EU DSA COMPLIANCE

9.1. Reporting Mechanism. StayDuo is committed to providing a safe environment. We provide an in-app reporting mechanism allowing users to notify us of illegal content or violations of our Community Rules.

9.2. Action and Timing. We endeavor to review all reports and take appropriate action (including removing content or suspending users) within 24 hours of receiving a valid report, in compliance with Apple App Store safety guidelines.

9.3. Blocking. You may block any user at any time to prevent them from contacting you or viewing your profile.

9.4. Point of Contact. For authorities and users under the EU Digital Services Act (DSA), our designated point of contact is: admin@stayduo.gr.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. STAYDUO DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, (B) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED, OR (C) THAT ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STAYDUO, ITS AFFILIATES, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) THE CONDUCT OR CONTENT OF OTHER MEMBERS OR THIRD PARTIES ON, THROUGH OR FOLLOWING USE OF THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT.

12. INDEMNITY

You agree, to the extent permitted under applicable law, to indemnify, defend and hold harmless StayDuo, our affiliates, and their and our respective officers, directors, agents, and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities and expenses, including attorney’s fees due to, arising out of, or relating in any way to your access to or use of the Service, your Content, or your breach of this Agreement.

13. THIRD PARTY SERVICES

The Service may contain advertisements and promotions offered by third parties and links to other websites or resources. StayDuo is not responsible for the availability (or lack of availability) of such external websites or resources. If you choose to interact with the third parties made available through our Service, such party’s terms will govern their relationship with you. StayDuo is not responsible or liable for such third parties’ terms or actions.

14. GOVERNING LAW AND VENUE

14.1. Governing Law. The laws of Greece, excluding its conflicts of law rules, will apply to any disputes arising out of or relating to this Agreement or the Service.

14.2. Venue. All claims arising out of or relating to this Agreement or the Service will be litigated exclusively in the courts of Athens, Greece, and you and StayDuo consent to personal jurisdiction in those courts.

14.3. EU ODR Platform. If you are an EU consumer, you may also use the European Commission’s Online Dispute Resolution platform (http://ec.europa.eu/consumers/odr/) to resolve disputes.

15. APPLE APP STORE ADDITIONAL TERMS AND CONDITIONS

Because StayDuo is downloaded from the Apple App Store, the following terms apply to you:

15.1. Acknowledgement. You and StayDuo acknowledge that this Agreement is concluded between you and StayDuo only, and not with Apple Inc. ("Apple"). StayDuo, not Apple, is solely responsible for the StayDuo App and the content thereof.

15.2. Maintenance and Support. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the StayDuo App.

15.3. Warranty. In the event of any failure of the StayDuo App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the StayDuo App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be solely governed by this Agreement and any law applicable to StayDuo as provider of the software.

15.4. Product Claims. You acknowledge that StayDuo, not Apple, is responsible for addressing any claims of you or any third party relating to the StayDuo App or your possession and/or use of that App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

15.5. Intellectual Property Rights. You acknowledge that, in the event of any third-party claim that the StayDuo App or your possession and use of that App infringes that third party’s intellectual property rights, StayDuo, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim to the extent required by this Agreement.

15.6. Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

15.7. Third Party Beneficiary. You and StayDuo acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

16. GENERAL PROVISIONS

16.1. Entire Agreement. This Agreement, with the Privacy Policy, Cookie Policy, and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service, contains the entire agreement between you and StayDuo regarding the use of the Service.

16.2. Severability. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

16.3. No Waiver. The failure of the Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

18. IDENTITY VERIFICATION AND BIOMETRIC AUTHENTICATION

18.1 Identity Verification Services To enhance user trust, prevent fraud, and improve platform safety, StayDuo may offer or require identity verification services through third-party identity verification providers, including but not limited to Veriff OÜ (“Verification Provider”). StayDuo acts as the data controller for identity verification purposes, and the Verification Provider acts as a data processor on our behalf pursuant to a Data Processing Agreement.

18.2 Data Submitted for Verification Identity verification may require submission of:

• A valid government-issued identification document;

• A selfie image or short video recording for liveness detection;

• Facial recognition data for biometric comparison.

18.3 Biometric Data Processing Biometric data (such as facial geometry or facial mapping data) may be processed solely for identity authentication and fraud prevention purposes. StayDuo does not store raw biometric templates. Biometric processing is performed by the Verification Provider in accordance with applicable data protection laws and their privacy policy. The legal basis for identity verification is our legitimate interests in ensuring platform safety and fraud prevention (Article 6(1)(f) GDPR), and where identity verification is required to access specific features, the performance of a contract (Article 6(1)(b) GDPR), and, where applicable, explicit consent for biometric processing (Article 9(2)(a) GDPR).

18.4 No Background Checks Identity verification does not constitute a criminal background check, credit check, or investigation into a user’s history. Verification confirms identity authenticity only and does not guarantee user behavior or safety.

18.5 Consent and Withdrawal Where required under applicable law, biometric processing is based on your explicit consent. You may withdraw consent at any time through your account settings or by contacting us; however, this may limit access to certain features, including the loss of any 'Verified' status or restriction from sections of the platform that require verified identities for safety.

18.6 Suspension StayDuo reserves the right to suspend, restrict, or terminate accounts where verification fails, fraudulent documentation is detected, or identity misuse is suspected.

19. AI-BASED MATCHING, PROFILING, AND AUTOMATED RECOMMENDATIONS

19.1 AI Matching System StayDuo uses algorithmic and AI-based systems to generate roommate compatibility suggestions, profile rankings, and automated recommendations. The AI system operates based on weighted compatibility criteria and behavioral indicators designed to improve roommate matching outcomes. These criteria are designed to prioritize relevant matches and improve user experience, but they do not result in fully automated decisions with legal or similarly significant consequences. The system may analyze:

• Lifestyle preferences;

• Housing criteria;

• Location data;

• Profile completeness;

• Behavioral and engagement signals within the platform.

19.2 Automated Recommendations Certain profile suggestions, compatibility scores, notifications, and email recommendations may be generated automatically without human intervention. These automated processes are designed to enhance user experience and matchmaking efficiency.

19.3 No Guarantee You acknowledge that compatibility scores, profile rankings, or AI-generated suggestions do not constitute guarantees of compatibility, safety, or suitability. StayDuo makes no representations or warranties regarding the accuracy, completeness, or reliability of automated matching outcomes.

19.4 Core Service Communications StayDuo may send automated emails or notifications recommending potential roommate matches or profile suggestions as part of the core functionality of the Service. Such communications are not considered third-party marketing. Users may manage notification preferences within their account settings, and every automated recommendation email will include a clear and accessible opt-out (unsubscribe) mechanism.

19.5 Right to Object and Human Intervention Subject to applicable law, including Article 22 of the GDPR, you may object to profiling or request review of certain automated decisions. You have the right to express your point of view, contest the automated outcome, and request human intervention by contacting us at admin@stayduo.gr.

20. DATA PROTECTION COMPLIANCE

StayDuo processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and applicable Greek data protection laws. Where biometric data is processed, such processing is conducted in compliance with Article 9 GDPR. Where third-party service providers process data on our behalf, such processing is governed by Data Processing Agreements in accordance with Article 28 GDPR. StayDuo implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, in accordance with Article 32 GDPR. Such measures include safeguards designed to protect against unauthorized access, accidental loss, destruction, or damage of personal data. Personal data is retained only for as long as necessary to fulfill the purposes described herein and in accordance with applicable legal obligations. For comprehensive details on data retention periods, your rights as a data subject (including the rights to access, rectification, erasure, and data portability), and our specific data processing activities, please refer to our full Privacy Policy, which is incorporated by reference into these Terms.
